Industry, Universities, and Government - How to Work Together Through Contracts

Level:Intermediate – Some experience, typically 1-3 years, with IP licensing and interest in specific topics.

Description:

The interface between institutions doing basic research and industries that turn that research into commercial products can feel like a minefield. Both parties enter agreement negotiations with constraints that may not be apparent to the other. In this course we discuss many of those constraints, both legal and cultural.

Modules:

  • Basis for different perspectives
  • Organization structures (e.g., affiliates for industry or university foundations)
  • Academic policies and laws (e.g., Bayh Dole) that impact Technology Transfer
  • Common agreement issues and solutions – Confidentiality, Sponsored Research, Licenses, Consultancy, and Material Transfer agreements
  •  Hot topics

You will learn the following topics:

  • What is the Bayh Dole Law What is the impact of Bayh-Dole on Universities and Corporations
  • Why corporate affiliate structures can impact agreement terms
  • Terms that can work to reach common ground on agreements

Instructors

Louise Levien, Ph.D., CLP, Executive Director, LES USA and Canada

Louise Levien has a PhD in Geochemistry and worked for 35+ years for ExxonMobil Upstream Research before retiring. She spent the first third of her career as a research scientist, the middle third as a supervisor and in various planning roles and the final third in the IP & licensing group.  In that role, she often acted as the liaison between scientists and attorneys, as well as between ExxonMobil and companies or Technology Transfer Offices.  During that time, she negotiated hundreds of agreements with IP terms, earned the CLP designation, and became the inventor of two patents.  Since retirement, she has done some consulting work, but mostly volunteered.  

She is on the Board of Directors and an active instructor for LES, a venture mentor for MD Anderson and the Univ. of TX, a mentor for the Woman’s Launchpad at Brown University and a marketing volunteer for College Money Matters.

Jennifer R. Gottwald Ph.D., CLP, Director of Licensing, Wisconsin Alumni Research Foundation

Jennifer Gottwald is a Director of Licensing at the Wisconsin Alumni Research Foundation (WARF), where she has worked for eighteen years. WARF manages the patenting and licensing of the University of Wisconsin – Madison (UW), the WiCell Research Institute, and the Morgridge Institute for Research. Dr. Gottwald is responsible for the licensing of a portfolio of life science research tool and biotechnology intellectual properties, including green technologies. She is a Certified Licensing Professional and Patent Agent. She received a B.S. in botany and German literature, and a Ph.D. in plant molecular biology, from the UW. She lectures in the M.S. in Biotechnology program at the UW, serves as a trustee of the WiSys Technology Foundation, and is a founder and active in the Association of University Technology Managers (AUTM) Women Inventors group.

Steven M. Ferguson, CLP, Special Advisor, NIH Office of Technology Transfer

Steven M. Ferguson currently serves as the Deputy Director, Licensing and Entrepreneurship. Prior to joining NIH Office of Technology Transfer in 1990, Mr. Ferguson served in marketing and management positions in biomedical firms subsequent to being a scientist at the National Cancer Institute. His healthcare experience has also included work as Director of Marketing and Public Relations for a rural 70-bed hospital. Registered to practice before the USPTO and a Certified Licensing Professional (CLP), Mr. Ferguson also holds Master's Degrees in Business Administration (George Washington University) and Chemistry (University of Cincinnati) as well as Bachelor’s Degree in Chemistry (Case Western Reserve University). Mr. Ferguson has been an economic reviewer for Maryland Industrial Partnerships (MIPS) as well as the Advanced Technology Program (ATP) grant programs and is an instructor for both the USDA Graduate School and the NIH FAES Graduate School where he is also the department chair for the new Certificate in Technology Transfer Program. Mr. Ferguson was also the Susan T. and Charles E. Harris Visiting Lecturer at the Watson School of Biological Sciences at the Cold Spring Harbor Laboratory and has published articles on licensing and technology transfer issues.
