Board of Director Roles Change
As part of a strategic restructuring of the Society, LES is establishing a Management Council (MC). The Board is presently requesting nominations for these positions.
The MC will be responsible for managing the tactical and day-to-day operations of the Society. It will be populated with various Senior Vice Presidents who will be appointed by the Board; and who will oversee the traditional functions of the Society, e.g., Meetings, Education, Membership, Awards and Recognition, Chapters, Sectors, and Standards. The MC will provide advice and counsel to subordinate committees and working groups, and will be charged with ensuring timely and consistent implementation of those functions. These tasks have traditionally been guided, if not directed, by members of the LES Board of Directors. In the interest of enhancing shared governance, increased transparency, and affording the Board greater freedom to focus on strategic initiatives and member benefits, the Board will be divesting itself of responsibility for the tactical and operational aspects of the Society.
The various Senior Vice Presidents will have discretion to appoint Vice Presidents to discharge the duties and tasks within the Senior Vice Presidents' charter. The responsibilities and the number of Vice Presidents will vary according to the charter of the MC position.
It is envisioned that the Senior Vice Presidents will serve for a term of three years, and the Board will populate the MC over the course of the next several years. The Senior VPs will report to the Board, and will periodically report to the Board on the strategic initiatives they are pursuing. The Senior VPs will also report to the LES CEO; and the CEO will be responsible for ensuring budgetary compliance and the satisfaction of staffing needs. The CEO will occasionally report to the Board on the performance of the MC.
The MC will play a central role in the operations of the Society. Senior VPs will be directly involved in setting the direction of the Society, and will interact regularly with the Board of Directors. The MC will thus play an important part of ongoing leadership development within the Society, and will be a fertile resource for future leadership, including Board service.
The Senior VPs will operate independently of the Board. They will not need to attend Board Meetings, but may be occasionally invited to do so. Conference calls and other logistics for completing goals would be at their own discretion.
The Board is asking members to nominate fellow members (or self-nominate) for appropriate positions. Successful nominees will have substantial experience in the corresponding operations of the Society, and a demonstrated ability to work well with others in a collaborative and constructive manner.
