The LES Mutual Non-Disclosure Agreement (NDA) Template is provided to help you govern the exchange of confidential information with other organizations and third parties.  A non-disclosure agreement is a contract that typically addresses issues such as ownership and exchange of the confidential information, and permitted use and protection of the confidential information.

• Confidential Information may include, but is not limited to, specifications, design plans, drawings and product blueprints; ideas, inventions, methods, processes, apparatus and devices; chemical formulations, chemical compounds, chemical mixtures and chemical applications; mechanical/electrical specifications, current and future product plans, system architectures and product strategies; scientific, clinical, animal study or technical data; prototypes and equipment; marketing strategies, marketing data, customer lists, business plans, financial materials and financial data; or any other business and/or technical information

The LES Mutual NDA Template can be downloaded and used/modified to cover many confidential information exchange situations.  Please remember to remove the footer “LES Mutual NDA Template” from the document before signature.

The LES Mutual NDA Template can help you reduce the time and cost of negotiating a confidentiality agreement generally, and LES has taken the additional step of identifying Accepting Organizations that agree to accept and sign the LES Mutual NDA Template without negotiation, as discussed below
